Affiliate Enrollment Terms

This RESELLER AGREEMENT (this “Agreement”) is entered into as of the date of signing (the “Effective Date”) by and between Cosurance Solutions, LLC DBA Cosurance Benefits, the parent company of CoMediCard located at 2725 Park Drive, Suite 2, Clearwater, Florida 33763, (the “Company”) and the affiliate registrant with a principal place of business as recorded on our online application (the “Agent Partner”). Each of the Company and Agent Partner are referred to herein as a “Party” and jointly as the “Parties”.WITNESSETHWHEREAS, Company is in the business of providing CoMediCard health care services for individuals, families and groups in the United States of America; andWHEREAS, the Parties want to enter into this Agreement for the purpose of having the Agent Partner promote and market Company’s Offerings in a non-exclusive manner; andWHEREAS, Company and Agent Partner are willing to enter into such an arrangement on the terms and conditions specified below; andWHEREAS, the Parties wish for this Agreement to exclusively set forth all terms and conditions pertaining to the subject matter hereof.NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which they each acknowledge, and intending to be legally bound, Company and Agent Partner do hereby agree as follows:Appointment. Company hereby appoints Agent Partner as a non-exclusive co-marketer of the Company. Pursuant to this grant of appointment and subject to the terms and conditions of this Agreement, Agent Partner may (i) solicit prospective and potential customers (“Potential Customers”) to purchase Company’s Offerings; (ii) provide end-customers with implementation and support services (iii) engage in Third Party marketing. The appointment is non-exclusive and non-transferable.Authority. Agent Partner represents and warrants that it has all necessary corporate power and authority to enter into this Agreement. Agent Partner warrants that it is good standing as a licensed insurance agent under the laws in the United States. Agent Partner’s entrance into this Agreement shall not cause Agent Partner to be in conflict with, or in violation of, any agreement and shall not infringe on any third party’s rights. Agent Partner is entering into this Agreement in good faith and on its own free will and accord and will perform this Agreement in good faith and in a professional manner.Promotion. Agent Partner will use commercially reasonable endeavors to promote and market the Company’s Offerings to Potential Customers (i) acquire from the Company required advertising materials and adhere to advertising guidelines (ii) exclusively offer Company published pricing (iii) provide customer support directly to customers who have purchased Company’s Offerings as a first-level line of support.For the purposes of this Agreement, “first level” support means support given by Agent Partner in an attempt to solve any issue pertaining to the application without the Company’s intervention. Such first level support should be given by the Agent Partner in an attempt to solve any issue pertaining to the web application without Company’s intervention. Such first-level support should be given by the Agent Partner as promptly as possible, in a professional manner and using commercially accepted support standards and best practices.Limitations. Notwithstanding anything contained herein to the contrary, Agent Partner has no authority to act on Company’s behalf or to contractually bind Company. Agent Partner shall not hold itself out as having any such authority, shall make no representations or warranties on Company’s behalf, and shall not describe or refer to the Company’s Offerings in any way which is inconsistent with Company’s then published marketing materials and advertising standards. Except as permitted regarding cobranding products under this Agreement, Agent Partner shall refrain from any deviation of advertising that is not consistent with our advertising standards.No Obligations by Company. Nothing in this Agreement shall obligate Company to enter into any agreement with any Potential Customer. If Company enters into any direct agreement with any such Potential Customer for the provision of Company Offerings, or if the Potential Customer indicates that it wants to enter into any such direct agreement with Company, then Company shall own and exclusively manage the account with such Potential Customer with respect to such Company Offerings, including, without limitation, any contract negotiations related to such account and the Company agrees to compensate the Partner in the amount explicitly specified in Addendum A hereunder for engagement of potential client should parties enter into any agreement for Company offering.No Costs to Company. All costs associated with the solicitation, marketing and support efforts taken by Agent Partner and/or Third Party Marketer pursuant to this Agreement shall be borne exclusively by Agent Partner and/or the relevant Third Party Marketer. For clarity purposes, consideration to Third Party Marketers (if any) is the sole responsibility of the Agent Partner.Company Representations. Company represents and warrants as follows:Company has all necessary corporate power and authority to enter into this Agreement and is duly incorporated under the laws of the State of Florida.Company’s entrance into this Agreement shall not cause Company to be in conflict with, or in violation of, any agreement or law, and shall not infringe on any third party’s rights;Company is entering into this Agreement in good faith on its own free will and accord, after it has sought and received proper legal counsel.Company will perform this Agreement in good faith.Company has the necessary corporate, organizational and financial capabilities to perform this Agreement and meet all its obligations pursuant to this Agreement.Company shall provide Agent Partner access to its marketing materials during the term of this Agreement, with a non-exclusive, sub-licensable right to use such marketing materials solely for the purpose of fulfilling this Agreement.Company shall provide Agent Partner with last-level support in the event that such support is needed.Updates to Company’s Products. Company shall take commercially reasonable efforts to update its products to meet contemporary regulatory requirements as well as generally accepted advertising standards. Notwithstanding the foregoing, Company does not guarantee that its products shall at all times fully comply with all such regulatory requirements.Compliance with Laws. Without derogating from Company’s exclusion of warranties (where relevant), each Party shall comply with all applicable laws, regulations, rules, ordinances and orders regarding its activities related to this Agreement.Relationship of the Parties. Company and Agent Partner are and shall remain independent contractors, and nothing in this Agreement shall be interpreted (i) to give either Party, including any Third-Party Marketer, the power to direct or control the day-to-day activities of the other, or (ii) to constitute the parties as partners, joint-ventures, co-owners or otherwise as participants in a joint or common understanding.Compensation. Except as otherwise provided in this Agreement, the total, final and exhaustive consideration that Agent Partner shall be entitled o receive in connection with this Agreement and subject to the performance of all obligation pertaining to Agent Partner pursuant to this Agreement, is the applicable fees relating to the Company’s Offering as set forth in Addendum A, hereto, which forms an integral part hereof.Costs, Expenses, Taxes, Payment TermsCosts and Expenses. Each Party shall bear and be liable for all costs and expenses that it initiates or incurs in fulfilling its obligation under this Agreement, except as otherwise expressly specified in this Agreement or in a written document signed by both Parties.Taxes. Each Party shall be fully responsible for any applicable income, sales, use or any value added or similar taxes arising out of or in connection with any payments received under this Agreement.Payments Due. All payments due to the Company under this agreement shall be made by credit card through the CoMediCard.com website or via an authorized credit card deduction or ACH deduction for group plans.Payment Terms. Payments to Agent Partner shall be paid on the last business day of every calendar month pertaining to qualified product enrollments for the month prior.No Obligation to Breach Law. In no event shall either Party be obligated under this Agreement to take any action or omit to take any action that it believes, in good faith would cause it to be in violation of any applicable laws, including without limitation any anti-corruption laws.Confidential Information.During the term of this Agreement, the Parties undertake to keep in strict confidence and trust, to safeguard, and to not disclose to any person and/or entity, nor to use for the benefit of any party other than the Parties, any Confidential Information, other than with the prior written consent of the disclosing Party. Confidential Information shall include without limitation price lists, information, whether or not marketed or designated as confidential, concerning technology, products, research and development, patents, copyrights, inventions, concepts, trade secrets, test results, processes, data, know-how, marketing, promotion, video footage, policies, practices, strategies, surveys, analyses, customer lists, agreement, transaction, service providers, officers, directors, shareholders pertaining to either of the Parties. For clarity purposes, this Agreement and its contents are also Confidential Information. Confidential Information shall not include information that has become part of the public domain not as a result of a breach of any obligation owed by the non-disclosing Party.Without derogating from the aforesaid, the Parties undertake to: Treat Confidential Information as confidential and keep it secret; Not disclose Confidential Information to any third party without prior written consent of the Company; Not use the Confidential Information for any purpose other than for performing their obligations pursuant to this Agreement; Take reasonable measures to prevent unauthorized access to Confidential Information; Exercise the same reasonable level of care as they use to protect their own confidential information, however, not less than the reasonably commercially accepted level of care required for the handling of such confidential information.Parties receiving Confidential Information may disclose Confidential Information if required by applicable law, court order and/or to comply with any other competent regulatory authority’s order.Upon termination of this for any reason, Agent Partner shall return all Confidential Information represented in tangible materials (e.g. documents) to the other Party and shall delete all electronically stored confidential Information without undue delay. The obligation to return or delete Confidential Information shall not apply to the extent that (i) a receiving Party is obligated to retain such Confidential Information pursuant to applicable law, or (ii) such Confidential Information is stored in back-up systems of the Parties and cannot be deleted without unreasonable effort.Licenses and Access Rights.Company hereby grants Agent Partner a non-exclusive, license to use Company approved marketing materials for the purpose of soliciting consumers and businesses for the CoMediCard product. Company reserves all rights with regards to advertising materials and logos and all other rights in and to collectively, the “Marks”. Agent Partner shall not create any advertising or marketing materials using the Marks without expressed written consent from Company. Company shall have the right to control and set standards for the quality of all products and services marketed under or in association with the Marks.Proprietary Notices: Use of Marks; Approval of Promotional Materials. Agent Partner shall clearly indicate Company’s ownership of the Marks whenever it uses the Marks. Upon request, partner shall provide Company with an opportunity to inspect and approve any description or promotional materials containing reference to the Marks.No Infringement. Agent Partner shall not at any time adopt, use or register any identical or similar mark or symbol or combination thereof which infringes any of the Marks.Other Intellectual Property Matters.Property Rights. Company retains all rights in and to the Company’s Offerings, Marks and its Confidential Information. Agent Partner shall not represent to any person or entity that it has any ownership interest in the Company Offerings, Marks or Company’s Confidential Information. Agent Partner hereby acknowledges that no action by it or in its behalf shall create in its favor any right, title or interest in or to such Company’s Offerings, Marks and/or confidential Information, or in any registrations, filings, renewal or enforcement rights pertaining to them.Ownership. Without derogating from the foregoing, Company is and shall remain the sole and exclusive owner of any and all intellectual property rights in connection with is technology, underlying technology, data, information and/or content, including without limitation, any trade secrets, marketing, materials, information and know-how, inventions, marketing, copyright, patents, trademarks including any modification, enhancements and derivatives thereof and know-how in connection therewith and/or in connection with the conduct of business.Ethical Business Practices. Agent Partner hereby represents and warrants to Company that they will uphold activities that represent the highest level of ethical business practices in the insurance community.Right to Revoke Product AgreementCompany shall always have the right, at Company’s sole discretion, to revoke this Agreement upon its reasonable determination that the Agent Partner has materially breached a relevant obligation. In such circumstances, Company will provide written explanation to Agent Partnerand the reasons for revocation. Examples of such revocation would include (1) Agent Partner’s willful misconduct, fraud, gross negligence or a material breach of this Agreement (ii) Third Party Marketing breach of any obligation (iii) end-customer’s breach of license terms of use (iv) data breach. Under any or all of the aforementioned cases, Agent Partner Agreement is immediately terminated and all current and future commission fees are terminated.17. Limitation of Liability. EXCEPTION IN CONNECTION WITH A BREACH OF INTELLECTUAL PROPERTY RIGHTS, WILLFUL MISCONDUCT, FRAUD OR GROSS NEGLIGENCE AND/OR PARTNER’S INDEMNIFICATION OBLIGATION AS SET FORTH, THE PARTIES SHALL NOT BE LIABLE TO EACH OTHER FOR ANY DIRECT, INDIRECT, INCIDENTIAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS, REGARDLESS OF THE LEGAL THEORY GIVING RISE TO SUCH CLAIMS BE IT CONTRACTUAL, TORT-BASED AND/OR OTHERWISE. WITHOUT DEROGATING FROM THE FOREGOING, IT IS EXPRESSLY AGREED BY THE PARTIES THAT EACH PARTY’S TOTAL, EXHAUSTIVE AND CUMULATIVE LIABILITY ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT SHALL BE LIMITED TO A TOTAL OF $100 USD.18. Indemnification of the Parties. The Parties shall, at their own expense, and immediately upon first written request, indemnify and hold harmless from and with respect to any all claims, liabilities, losses, direct damages, costs and expenses, including without limitation, the reasonable fees and disbursements of counsel, related to or arising, directly or indirectly, out of any material failure or any material breach by Parties of any representation or warranty, covenant, obligation or undertaking made by Parties hereunder and any Third-Party Marketer’s failure to meet and/or comply with the relevant and applicable provisions of this Agreement.19. Terms; Termination.19.1 Terms of Agreement. This Agreement shall commence on the effective date and shall be in force and effect for a period of two (2) years, after which it shall automatically renew for addition periods of one (1) year each thereafter, all unless earlier terminated in accordance with this section.19.2 Termination for Cause. Either Party may immediately terminate this Agreement by written notice if the other Party commits a material breach of this Agreement, and, where such breach is capable of cure, fails to cure it within 7 days of notifying Party’s receipt of written notice, identifying such breach.19.3 Bankruptcy, Insolvency. Either Party may immediately terminate this Agreement on written notice if the other Party becomes insolvent or seeks protection under bankruptcy, receivership, insolvency or comparable proceeding, or ceases to do business, or otherwise terminates its business operations.19.4 Termination for Convenience. Either Party may terminate this Agreement for convenience at any time, upon not less than Thirty (30) days prior written notice to the other Party.19.5 Effects of Termination or Expiration. Upon expiration or termination of this Agreement, Agent Partner shall (a) immediately cease promoting, marketing and purchasing Company’s Offerings (b) discontinue using the Marks and Company Confidential Information (c) promptly return to Company, or at Company’s election, destroy an of Company’s Confidential Information in its possession (d) notify any Third-Party Markets of the termination of this Agreement. The termination or expiration of this Agreement shall not derogate from Agent Partner’s obligations to provide first-level support to end-customers who purchased company’s products for the remainder of the product’s license period; (3) Expiration or Termination of the Agreement for whatever reason shall not derogate from Agent Partner’s entitlement to receive any fees or payments accrued in Agent Partner’s favor prior to the expiration or termination of this Agreement. Expiration or Termination of this Agreement shall not compel Company to revoke any products purchased from it in the course of the performance of this Agreement.20. Exclusion of Warranties. THE COMPANY’S OFFERINGS AND MARKS ARE PROVIDED ‘AS IS’. TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY PROVIDES NO WARRANTIES RELATING TO SUCH COMPANY’S OFFERINGS OR MARKS UNDER THIS AGREEMENT, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY FOR SATISFACTORY QUALITY, IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE, OR IMPLIED WARRANTY OF TITLE OR NON-INFRIGEMENT, SAVE AS SET OUT IN THIS AGREEMENT, ALL WARRANTIES, CONDITIONS, REPRESENATIONS, UNDERTAKING AND OTHER TERMS IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE ARE, TO THE FULLEST EXTENT PERMITTED BY LAW, EXCLUDED FROM THIS AGREEMENT.21. Miscellaneous21.1 Governing Law: Jurisdiction. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida in the United States. Any dispute or claim arising out of or in connection with the Agreement shall be finally and exclusively settled by the competent courts of Pinellas County, Florida after first attempting formal mediation of dispute. For the purposes of this Agreement, Company an Agent Partner agree to this jurisdiction.21.2 Entire Agreement. This Agreement constitutes the entire agreement between Company and Partner Agent with respect to the subject matter hereof and supersedes any prior agreement between the Parties with respect to the subject matter hereof. This Agreement may only be amended by written instrument signed by both Parties.21.3 No Waiver. Neither Party shall, by mere lapse of time, without giving notice thereof, be deemed to have waived any breach by the other Party of any terms or provisions of this Agreement. The waiver by either Party of such breach shall not be construed as a waiver of subsequent breaches or as a continuing waiver of such breach.21.4 Assignment. Neither Party may assign this Agreement, or any rights or obligation hereunder, in whole or in part. Any attempt by a Party to do so shall be deemed null and void. Notwithstanding the forgoing, either Party may transfer its rights and obligations hereunder to a third party that acquires all of the assets subject to this Agreement, or securities or assets of the transferring Party (including in connection with a merger).21.5 Notices. All notices, demands, consents or other communications required or permitted to be given or made under this Agreement shall be in writing and shall be given to such Party’s address as set forth below. Any notice sent in accordance with this section shall be effective if mailed by registered mail ten business days after mailing or if sent by courier or messenger, upon written proof of delivery.If to Company:CoMediCard, Attn: Mr. James Ballou - 2725 Park Drive, Suite 2, Clearwater, FL 3376321.6 Amendments. No amendment of any provision of this Agreement shall be valid unless the same shall be in writing and signed by all Parties.21.7 Severability. Each provision hereof is intended to be severable and the invalidity or illegality of any portion of this Agreement shall not affect the validity or legality of the remainder hereof.21.8 Captions. Section and paragraph captions contained in this Agreement are inserted only as a matter of convenience and for reference and in no way define, limit, or extend or describe the scope of this Agreement or the intent of any provision hereof.21.9 Third Party Rights. It is expressly declared that no rights shall be conferred under this Agreement to any other person other the Company and the Agent Partner. Should CoMediCard have a rate increase, consumers and agents will be notified 60 days in advance.HOW ARE CANCELLATIONS PROCESSED?Cancellations are available to be made by emailing CoMediCard.com by the 25th of the month prior to the next billing month. It is the customer’s responsibility to do so. AM I ABLE TO ADD ON TO MY FAMILY PLAN AT ANY TIME?Yes, qualifying dependents, spouses and domestic partners can be added at any time. CoMediCard.HOW LONG IS A CUSTOMER OBLIGATED TO SUBSCRIBE TO COMEDICARD?There is no minimum date established to enter the CoMediCard benefit. Changes or cancellations must be received by the 25th of the month prior to the next month.HOW LONG DOES IT TAKE FOR THE COMEDICARD BENEFIT TO BECOME EFFECTIVE?It takes 3-7 days to receive the welcome letter once we receive the online enrollment and payment. Customers will be notified and sent a Welcome Letter with their identification card and instructions. As soon as we are able to process the application, your customer’s account will be effective. We do not prorate our services. Payments are processed monthly after initial enrollment. If your client enrolls at the end of the month, and the normal effective date would be the first of the following month, your client will not be charged twice for services during that month for an enrollment in the second half of the current month.Example one: Enrollment and payment received on March 16th: would have an estimated effective date of March 26th. The next payment would be due on April 16th for the following month. Example two: Enrollment and payment received on March 1st would have an estimated effective date of March 11th. The next payment would be due on April 1st.
